Numerix provides professional accounting services including but not limited to tax optimization, business accounting, and payroll management. Our services are provided on an "as is" and "as available" basis.
We reserve the right to refuse service to anyone for any reason at any time.
Client Responsibilities
You agree to:
- Provide accurate and complete information necessary for the provision of our services
- Respond promptly to requests for additional information or clarification
- Review all documents, reports, and filings prepared by us before they are submitted to regulatory authorities
- Pay all fees for services rendered in accordance with our agreed-upon fee schedule
Fees and Payment
Fees for our services are as stated on our website or as specifically quoted to you. Payment is due upon receipt of invoice unless otherwise specified in writing.
We reserve the right to change our fees at any time, but changes will not affect services already ordered or in progress.
Intellectual Property
The content, features, and functionality of our website, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are and will remain the exclusive property of Numerix and its licensors.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Numerix.
Limitation of Liability
In no event shall Numerix, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use our services
- Any conduct or content of any third party on our services
- Any content obtained from our services
- Unauthorized access, use, or alteration of your transmissions or content
Indemnification
You agree to defend, indemnify, and hold harmless Numerix and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to our services.
Governing Law
These Terms shall be governed and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
